Terms of Service

Welcome to Goalyo!

Goalyo LLC (“Goalyo”) is a mobile application (the "App") designed to help you achieve your goals by setting and tracking goals and interacting with a supportive community.

These Terms of Service ("Terms") govern your access to and use of our services, including our websites, SMS, APIs, email notifications, applications, buttons, widgets, advertisements, commerce services, and any other services that link to these Terms (collectively, the "Services"). These Terms also cover any information, text, links, graphics, photos, audio, videos, or other materials uploaded, downloaded, or appearing on the Services (collectively referred to as "Content"). By using Goalyo's Services, you agree to be bound by these Terms.

1. Eligibility

You may use the Services only if you agree to form a formal agreement with Goalyo and are not a person barred from receiving services under the laws of the applicable jurisdiction. You must be at least 13 years old to use the Services. If you are accepting these Terms and using the Services on behalf of a company, organization, government, or other legal entity, you represent and warrant that you are authorized to do so and have the authority to bind such entity to these Terms, in which case the words “you” and “your” as used in these Terms shall refer to such entity.

2. User Accounts

You are responsible for creating and maintaining a secure password for your account. You are also responsible for all activity that occurs under your account.

3. User Generated Content

Goalyo allows you to share content, including goals, updates, comments,photos, GIFs, memes, videos, live streams, and messages (collectively, "User Content"). You retain all ownership rights to your User Content. However, by submitting User Content to Goalyo, you grant us a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, publish, and distribute your User Content in connection with the operation and promotion of the App.

You are solely responsible for your User Content and agree that it will not:

• Be illegal, hateful, threatening, harassing, defamatory, obscene, pornographic, or invasive of privacy.

• Infringe on any intellectual property rights.

• Contain spam or unsolicited commercial communications.

• Exploit, abuse, or endanger children.

• Promote violence or self-harm.

• Impersonate any person or entity.

We reserve the right to remove or disable any User Content that violates these Terms at our sole discretion.

4. Community Guidelines

Goalyo is a supportive community. Please treat others with respect and avoid:

• Harassment.

• Hate speech or discrimination.

• Sharing personal information about others without their consent.

• Spamming or posting irrelevant content.

5. Third-Party Services

The App may integrate with third-party services. You are responsible for reviewing and agreeing to the terms of service of those services.

6. Intellectual Property

Goalyo and its logos are trademarks of Goalyo LLC. All other trademarks, service marks, and logos used in the App are the property of their respective owners. 

The App, including its code, design, features, and all associated intellectual property, is the exclusive property of Goalyo LLC. Unauthorized use, reproduction, or distribution of any part of the App, including its code or design, is strictly prohibited.

7. Disclaimers

Goalyo is provided "as is" and without warranty of any kind, express or implied. We disclaim all warranties, including but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

We will not be liable for any damages arising from your use of the App, including but not limited to, direct, indirect, incidental, consequential, or punitive damages.

In no event shall Goalyo, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the Service; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Service; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Service by any third party; (v) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service; and/or (vi) the defamatory, offensive, or illegal conduct of any third party.

9. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice, effective immediately. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by following the instructions in the app.

10. Governing Law

These Terms will be governed by and construed in accordance with the laws of the State of Illinois, excluding its conflict of law provisions.

In the event of any dispute arising out of or relating to these Terms or your use of the App, you and Goalyo agree to the following dispute resolution process:

• Negotiation: We will attempt to resolve any dispute through good faith negotiation.

• Mediation: If negotiation fails, we agree to attempt to resolve the dispute through binding mediation conducted in Illinois according to the rules of a reputable mediation organization. The costs of mediation will be shared equally between you and Goalyo.

• Arbitration: If mediation fails, the dispute will be settled by binding arbitration conducted in Illinois according to the rules of a reputable arbitration organization. The arbitrator's decision will be final and binding on you and Goalyo.

You and Goalyo agree that any arbitration or legal proceeding arising out of or relating to these Terms or your use of the App will be brought exclusively in the courts of Illinois, and you hereby waive any objection to the jurisdiction or venue of such courts.

11. Pricing and Payment

Free and Paid Features Some features of the App are available for free, while others require payment. We may offer subscription plans, in-app purchases, or other paid features. The specific features and prices are detailed in the App.

Payment Terms By selecting a paid feature, you agree to pay Goalyo the fees indicated for that feature. Payments will be charged at the time you select the paid feature and will cover the use of that feature for the period indicated.

Billing We use a third-party payment processor to handle all payments. By providing your payment information, you authorize us to charge the applicable fees to your designated payment method. You agree to provide current, complete, and accurate billing and account information.

Subscriptions If you choose a subscription plan, your subscription will automatically renew at the end of each subscription period unless you cancel it before the renewal date. You will be charged the then-current subscription fee for the next subscription period. You may cancel your subscription at any time through your account settings in the App.

Refunds All fees paid are non-refundable except as required by law. In the event that we terminate your access to the Service without cause, we will refund a prorated portion of any prepaid subscription fees.

Changes to Pricing We reserve the right to change our pricing at any time. Any changes to pricing will not affect your existing subscription until the end of the current subscription period.

12. Privacy Policy 

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information. By using our Services, you agree to the collection and use of information in accordance with our Privacy Policy.

13. Modification of Services 

We reserve the right to modify or discontinue, temporarily or permanently, any part of the Services with or without notice. You agree that we shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.

14. User Responsibilities 

You are responsible for providing accurate and complete information when creating an account and using the Services. You agree to comply with all applicable local, state, national, and international laws and regulations when using the Services.

15. Indemnification 

You agree to indemnify, defend, and hold harmless Goalyo, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.

16. Severability 

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

17. Waiver 

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

18. Assignment 

We may assign or transfer our rights and obligations under these Terms without your consent. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent.

19. Force Majeure 

We will not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, strikes, supply shortages, or any other force majeure event.

20. Electronic Communications 

By using our Services, you consent to receive electronic communications from us. These communications may include notices about your account and information concerning or related to the Services. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.

21. AI and Machine Learning

The App includes features that utilize artificial intelligence (AI) and machine learning to enhance user experience and optimize interactions. By using the App, you agree to the following:

• The AI features, including but not limited to chatbots and personalized recommendations, are provided for informational and support purposes only and do not constitute professional advice.

• We may use your data, including but not limited to your interactions, goals, and preferences, to improve and personalize the AI features.

• Interactions with AI features may be monitored and recorded to enhance the Service and provide more effective support.

• You will not use AI features for any unlawful or harmful purposes.

• Goalyo is not responsible for any actions taken based on interactions with AI features.

This clause ensures users are informed about the use of AI and machine learning within the app and agree to the related terms and conditions.

22. Updates to Terms of Service

We may update these Terms at any time. We will notify you of any changes by posting the new Terms on the App. Your continued use of the App after the posting of any revised Terms constitutes your acceptance of the revised Terms.

23. Entire Agreement

These Terms constitute the entire agreement between you and us regarding your use of the App.
